Governing Body.

1. Queen's College shall henceforth be administered by the Governing Body, subject' to the following regulations.

2. The Governing Body shall consist of five members appointed by the Governor, who may, at his pleasure, require any one or all of them to resign, and who may temporary vacancies as they may occur.

3. The Governing Body shall hold at least two ordinary meetings in each 4. They may also appoint one of their number to be Honorary Secretary,

5. A special meeting may be summoned at any time by the Chairman of his own motion, or on the requisition of any two members, upon due notice being given.

6. There shall be a quorum when three members are present at any meeting. Every matter shall be determined by the majority of the members present and voting on the question. In case of equality of votes, the Chairman shall have a second or casting vote.

7. Any Resolution of the Governing Body may be rescinded or varied at a sub- sequent meeting.

8. If at the time appointed for a meeting a sufficient number of members to form a quorum are not present, or if at any meeting the business is not completed, the members present may adjourn the meeting to a day and time, of which, if the meeting is adjourned for more than two days, notice shall forthwith be delivered or sent to each member.

9. No Headmaster or Assistant Master of the College shall be a member of the Governing Body.

10. No Headmaster or Assistant Master shall take private pupils, unless under special circumstances and with the express permission of the Governing Body.

11. The Governing Body shall prescribe the general subjects of instruction, the relative prominence and value to be assigned to each group of subjects, and the ar- rangements respecting the school terms, vacations and holidays.

They may also advise the Governor as to the scale of fees to be charged.

No order under this section shall be valid unless and until it has been approved by the Governor.

12. Before making any regulations under the last section (No. 11) the Governing Body shall consult the Headmaster in such manner as to give him full opportunity for the expression of his views. The Headmaster may also from time to time submit proposals to the Governing Body for making or altering regulations concerning any inatter within its province." The Governing Body shall fully consider any such ex- pression of views or proposals, and shall decide upon them; but the Headmaster may dissent from such decision and appeal through the Governing Body to the Governor.

13. Subject to any rules prescribed by or under the authority of these Regulations, the Headmaster shall have under his control the choice of books, the method of teaching, the arrangement of classes and school hours, and, generally, the whole internal organisa- tion, management, and discipline of the school; provided that no book in which the Headmaster or any Assistant Master has any pecuniary interest shall be used without the express permission of the Governing Body.

14. The Governing Body shall appoint an Examiner or Examiners to conduct an examination of the scholars. The date of examination shall be fixed by the Governing Body, after consulting the Headmaster. The Examiner or Examiners shall report in writing on the proficiency of the scholars and the condition of the College as regards instruction and discipline as shown by the examination.

The cost of the examination shall be paid by the Government.

The Governing Body shall send a copy of the report to the Headmaster and to the Colonial Secretary for the information of the Governor.

15. The annual report of the Headmaster on the condition and progress of the College shall, in the first instance, be transmitted to the Governing Body for submission to the Governor.

16. Correspondence regarding matters in connection with the ordinary working of the College, such as appointments, salaries and other expeuses, &c. shall continue to be sent by the Headmaster to the Colonial Secretary, but the Governor, before deciding on any question, may request the advice of the Governing Body,

17. The Governor may refer any question such as matters of finance, complaints by or against the Headmaster in connection with his staff, &c., for the consideration and opinion of the Governing Body.
